EFFECTIVE JULY 2026SMOOTH TRANSITIONS LLCGOVERNED BY NEW YORK LAW
DRAFT FOR REVIEW
A starting draft based on the policies described for this practice — not legal advice. Have an attorney licensed in New York review it, especially the liability, dispute, and package-terms sections, before publishing.
Questions about these terms: sherrell@smoothtransitionsllc.org
These terms govern your use of smoothtransitionsllc.org and any coaching, consulting, or informational services purchased through it. By using this site or booking a session, you agree to them. Counseling clients also sign separate consent and practice policies at intake; where those documents differ from these terms, the intake documents control.
01

No clinical relationship through this site

Reading this site, emailing me, or booking a call does not create a therapist–client relationship. Counseling begins only after intake is completed and accepted, and is available only to adults residing in New York State. Content on this site is general education, not clinical advice for your situation.
02

Not emergency services

This practice does not provide crisis or emergency care, and messages are not monitored around the clock. If you are in crisis or thinking about harming yourself or someone else, call or text 988, call 911, or go to your nearest emergency room.
03

Coaching is not therapy

Coaching is forward-focused and action-oriented. It is not psychotherapy, diagnosis, treatment, or crisis support, and it is not a substitute for medical or mental health care. Coaching clients are not clinical patients, and coaching records are not clinical records. To protect the integrity of both relationships, I cannot provide counseling and coaching to the same person at the same time.
04

Eligibility and scope of practice

Services are for adults 18 and older. I do not treat minors, couples, active psychosis, severe eating disorders, alcohol and substance use disorders, or forensic and court-mandated cases. If your needs fall outside my scope, I will say so and, where possible, point you toward appropriate care.
05

Coaching packages, payment, and expiration

All coaching packages are non-refundable, including the Reflect intensive. Payment plans are available in four installments; the first payment reserves your intensive and the plan must be completed before the final session. Paying in full receives priority scheduling.
Each package is a container with a defined term — Reset expires 30 days from purchase, Realign at three months, Rise at six months. Unused sessions do not carry forward or transfer.
If you upgrade from Reflect to another package within 30 days of your intensive, the amount paid is credited toward that package as described at the time of purchase.
06

Scheduling, cancellation, and attendance

Rescheduling with at least 24 hours' notice is always fine. No-shows and late cancellations are treated as used sessions. More than two in a single term and the coaching relationship may be closed out early without refund of remaining sessions.
07

No guaranteed outcomes

I bring the framework, structure, and my full attention. Results depend on your honesty, effort, and the action you take between sessions, and no specific outcome is promised or implied. Testimonials on this site reflect individual experiences and are not a prediction of your results.
08

Organizational engagements

Workshops, series, leadership development, and speaking engagements are governed by a separate written agreement covering scope, fees, deposits, travel, cancellation, and recording. Nothing on this site constitutes a binding quote.
09

Intellectual property

The S.M.O.O.T.H. framework, workshop curricula, worksheets, recordings, site copy, photography, and the Smooth Transitions name and logo are the property of Smooth Transitions LLC. Materials shared with clients or workshop participants are for personal or internal organizational use only and may not be reproduced, resold, or taught by others without written permission.
10

Third-party platforms and links

Scheduling, records, and payment are handled by third-party platforms including Calendly and SimplePractice, each with its own terms. Links to other websites are provided for convenience; I don't control and am not responsible for their content or practices.
11

Limitation of liability

This site and its content are provided as-is, without warranties of any kind. To the fullest extent permitted by law, Smooth Transitions LLC is not liable for indirect, incidental, or consequential damages arising from your use of this site or of coaching or consulting services, and total liability is limited to the amount you paid for the service at issue. Nothing here limits liability that cannot be limited under applicable law, including for professional services governed by New York licensure.
12

Governing law and changes

These terms are governed by the laws of the State of New York, and any dispute will be brought in the state or federal courts located in Erie County, New York. Terms may be updated from time to time; the effective date above will change, and continued use of the site means you accept the current version.
IN A CRISIS?
This website is not for emergencies. If you are in crisis or thinking about harming yourself, call or text 988 (Suicide & Crisis Lifeline) or go to your nearest emergency room.
